We argue that faced with weak institutions, firms can create and appropriate value by either adapting to, augmenting, or transforming the existing institutional environment, and can do so either independently or in collaboration with others. We use the resulting typology of six distinct non-market strategies to provide an integrative review of non-market strategy research. We then extend this framework to examine the choice between non-market strategies, arguing that this choice depends upon whether the existing institutional environment is incomplete or captured, and discussing other drivers of non-market strategy choice, the relationship between these strategies, and their social impact, so as to provide an agenda for future research. Managerial summary: The pursuit of competitive advantage often requires firms to operate in contexts where existing rules and regulations provide inadequate protection. Disruptive technologies open up new opportunities for value creation, but it takes years before appropriate regulations are introduced. Economic reforms open up new markets, but these are often regulated to favor incumbents and politically connected insiders. In such environments, managers must decide whether to adapt their strategies to the existing institutional environment, devote resources to improve it, or try to transform it altogether. Yet, despite considerable academic interest, there are many questions about what dynamic capabilities are, how they relate to other organizational operations, and how they relate to firm performance. In this art, we provide a unique and comprehensive examination of the DCV literature that goes beyond past reviews by combining text based analysis with surveys of, and interviews with, researchers in the field. With this approach, we are able to examine the evolution of the DCV in written literature and identify missing research themes. Based on this review, we argue that future research will benefit from integrating the DCV with configuration theory and recent microfoundational thinking. We encapsulate this discussion via an architectural model of the DCV (entitled 'House of Dynamic Capabilities') that combines microfoundations underlying DCs at the varying levels of analysis (individual, business unit, and organizational) while also accounting for important enablers of DCs and firm strategic orientation. It used over thirty years of data to understand the impact of the activists’ demands of strategic significance for the firms. It examined the premium fetched at acquisition announcement, bid counts and cash versus stock offers to see the benefits of activism to the target firm and its shareholders. It checked the performance reflected in the premium fetched to compare activists based on their overall experience, industry specialization and ownership stake. Most importantly, it analyzed the long-term post-acquisition performance of firms for cases that involved the activists versus others. It noted that the involvement of activists led to above 30% premium for the target firms benefiting its shareholders, as compared to about 15-20% for the non-activism related M&A. It also observed a 30% increase in the post-acquisition performance of the acquirer or the merged firm up to five years after the effective date of the M&A transaction for an activism related M&A, as compared to others. The results provide strong evidence that activism leads to positive value creation for the shareholders of a target firm at the time of acquisition. It challenged the popular perception that activists are near-term focused investors and corporate raiders. It found that activists bring lasting gains to the acquirer and its shareholders. The strategic changes brought in by the activist continue to influence the performance of the target and its acquirer for the long-term. It concluded that activists help discipline a target firm in the short as well as the long terms. Investor activism can steer M&A to successful outcomes for the target and the acquirer. Yet, the sufficient condition is often determined by pricing and how customers are willing to pay for the technology (Chesbrough and Rosenbloom, 2002). As a consequence, much research on Business Models has focused on innovation and technology management (Rajala et al., 2012; Zott et al., 2011), and software-specific frameworks for Business Models have emerged (Popp, 2011; Rajala et al., 2003; Rajala et al., 2004; Stahl, 2004). This paper attempts to illustrate Business Model change in the software industry. Design: Drawing on Rajala et al. (2003), this case study explores the (1) antecedents and (2) consequences of a Business Model-change in a logistics software company. The company decided to abolish their profitable fee-based licensing for an internet-based version of its core product and to offer it as freeware including unlimited service. Findings: Firstly, we illustrate how external developments in technology and customer demands (pricing), as well as the desire for a sustainable Business Model, have led to this drastic change. Secondly, we initially find that much of the company’s new Business Model is congruent with the company-focused framework of Rajala et al. (2003) [product strategy; distribution model, services and implementation; revenue logic]. Value: The existing frameworks for Business Models in the software industry cannot fully explain the disruptive change in the Business Model. We analyze the conditions under which knowledge that is useful for carrying out a key value chain activity is inherited, and explore the mechanism through which such an inheritance shapes an entrant’s strategies and, in the process, influences its performance. Evidence from the early U.S. auto industry indicates that employee spinoffs generated from incumbents that had integrated a key value chain activity were also more likely to integrate that activity than other entrants, which, we suggest, reflects the application of knowledge inheritance relative to that activity. Moreover, we find that the integration of this key activity, stimulated by knowledge inheritance, contributed to the establishment of defensible strategic positioning, thereby enhancing the survival duration of inheriting spinoffs. We thus link together the phenomena of knowledge inheritance, vertical integration, and strategic positioning to explain entrant performance. Esta es por tanto una tematica de gran relevancia y actualidad en todas las publicaciones de esta area tematica, en especial los trabajos empiricos que aporten informacion tanto cuantitativa como cualitativa del desempeno de empresas de sectores dinamicos como es el caso del turismo. Es por ello que el presente articulo centra su atencion en la valoracion de la efectividad de las diferentes estrategias: genericas, de crecimiento y de diversificacion de una compania hotelera de prestigio en al area del Caribe a traves de los indicadores de desempeno financiero y otros cualitativos. Los resultados que se presentan corresponden al 100% de la poblacion objeto de estudio, todo lo cual posibilito la informacion necesaria para detectar las principales desviaciones respecto al planteamiento estrategico, asi como las posibles alternativas de mejora del rendimiento y la competitividad futura de las diferentes instalaciones hoteleras. Con lo que se aporta una investigacion empirica de un destino turistico en crecimiento y consolidacion, asi como una tambien una metodologia generalizable para el diagnostico y diseno estrategico de las organizaciones.English Abstract: The strategic design process and subsequent evaluation of results and their feedback and control are key moments in the management of an organization. This is therefore a topic of great relevance today in all publications in this subject area, especially empirical studies that provide both quantitative and qualitative information on the performance of companies in dynamic sectors such as tourism. That is why this article focuses on assessing the effectiveness of different strategies: generic, growth and diversification of a hotel company in the Caribbean area through the financial performance indicators and other qualitative. Results presented correspond to 100% of the study population, all of which made possible the information needed to detect major deviations from the strategic approach and possible alternatives for improving the performance and future competitiveness of the different facilities hotel.
