Since the promulgation of the regulation, Mortgage Rights which were previously carried out conventionally have shifted to electronic mortgages. This causes various obstacles that lead to the question of the effectiveness of the electronic mortgage. The purpose of this research is to identify and analyze related to the benefits, the role of PPAT and the advantages for PPAT in the Electronic Mortgage Rights system. This research is a normative juridical research using the approach of legislation, concepts, and comparisons. This study uses primary, secondary, tertiary legal materials with literature study tracing techniques and uses qualitative descriptive techniques. From the results of the study, it can be concluded that the benefits of electronically integrated Mortgage services are timeliness of Mortgage registration, Economical, Roya and credit overtake can be done quickly, ease of access management, reporting and monitoring of the number and value of Mortgage in all branches. The main task of PPAT in terms of electronic mortgage services is to make APHT. Prior to making APHT, PPAT is obliged to carry out certificate checks both online and manually according to the readiness of the respective Land Office data. PPAT registers APHT with the Land Office through an online system. Through the Partner Application, PPAT uploads several required documents into the system until the issuance of the Introduction to the Deed (SPA). Electronic Mortgage Rights make it easy for users, especially for PPATs because Electronic Mortgage Rights aim to provide timeliness, speed, convenience, and affordability with the principle of openness in the context of public services. BAHASA INDONESIA ABSTRACTAdanya Pembebanan Hak Tanggungan Elektronik saat ini telah diatur dalam Peraturan Menteri ATR/BPN Nomor 5 Tahun 2020 Tentang Pelayanan Hak Tanggungan Secara Elektronik. Semenjak diundangkannya peraturan tersebut Pembebanan Hak Tanggungan yang dulunya dijalankan secara konvensional beralih ke hak tanggungan elektronik. Hal tersebut menyebabkan berbagai kendala yang menyebabkan dipertanyakannya efektifitas adanya hak tanggungan elektronik tersebut. Tujuan dari penelitian ini yaitu untuk mengidentifikasi dan menganalisis terkait dengan manfaat, peranan PPAT dan keuntungan bagi PPAT dalam sistem Hak Tanggungan Elektronik. Penelitian ini merupakan penelitian yuridis normatif dengan menggunakan pendekatan peraturan perundang-undangan, konsep, dan perbandingan. The Prenuptial Agreement can be made in authentic deed which is made before a Notary and/or made in underhand agreement. There are many problems in society related to wealth in marriage, between husband and wife, even though they have made the Prenuptial Agreement. In connection with this, the formulation of the problem that will be examined is how the functions of the Prenuptial Agreement deed in the civil proceedings according to the procedural law on evidence. The research used in this writing is the qualitative research using normative juridical methods, namely reviewing the extent to which the laws and regulations in Indonesia governing the Prenuptial Agreement are associated with problems in practice. Data is collected through literature studies, namely by finding, collecting and reviewing secondary data. The approach used is a conceptual approach, which is an approach used by reading theories to be used, related journals, legal books and views and doctrines to examine the problem being studied, in addition to the statutory approach which is an approach by analyzing laws and all related rules related to the problem being studied. Based on the research, it can be concluded that the function of the Prenuptial Agreement deed against the third parties in civil proceedings according to the procedural law on evidence is as an authentic evidence tool. It is said to be an authentic deed interpreted to provide a full evidentiary force, so it does not require any kind of additional evidence. The Prenuptial Agreement Deed which made before the Notary is authentic evidence because it is made by or before the authorized officer for that, by fulfilling the conditions specified in the law. As authentic evidence, the deed is a binding evidence, so every words written in the deed must be trusted by the judge, must be considered that is true as long as the untruth cannot be proven.BAHASA INDONESIA ABSTRACTDalam melangsungkan suatu perkawinan maupun untuk membuat Perjanjian Kawin diperlukan ketentuan-ketentuan perundang-undangan yang mengatur hal tersebut dan untuk menjamin serta memberi kepastian hukum kepada pihak-pihak yang akan membuat Perjanjian Kawin. The topic of this article’s discussion is if the establishment of the Ultra Micro holding can be qualified as privatization and what are the legal consequences of the establishment of the Ultra Micro holding. Based on the provisions of PP No. 73 In 2021, the formation of the Ultra Micro holding is not merely a corporate action carried out by BRI, but is carried out by BRI as a result of PP No. 73 of 2021. The addition of shares in BRI originating from Pegadaian and PNM shares will result in an increase in the proportion of Government-owned shares in BRI, so to maintain the proportion of share ownership owned by the government and other shareholders in BRI, BRI will increase its capital with pre-emptive rights (rights issues). The rights issue has an effect on increasing the ownership of shares circulating in the community, so it can be classified as an act of privatization. The establishment of an Ultra Micro holding can legally result in changes in the Government's control of Pegadaian and PNM, categorized as a takeover transaction (acquisition) so that there is still an obligation to notify KPPU.BAHASA INDONESIA ABSTRACTPP No. 73 Tahun 2021 merupakan dasar dilakukannya pembentukan holding Ultra Mikro. Permasalahan yang menjadi pokok bahasan artikel ini adalah apakah pembentukan Holding Ultra Mikro dapat dikualifikasikan sebagai Privatisasi BUMN dan bagaimana implikasi hukum atas pembentukan holding Ultra Mikro. Berdasarkan ketentuan PP No. 73 Tahun 2021, pembentukan holding Ultra Mikro bukanlah semata-mata aksi korporasi yang dilakukan oleh BRI, melainkan dilakukan oleh BRI sebagai akibat adanya PP No. 73 Tahun 2021. Penambahan saham pada BRI yang berasal dari saham Pegadaian dan PNM akan mengakibatkan proporsi kepemilikan saham milik Pemerintah pada BRI meningkat, sehingga untuk tetap mempertahankan proporsi kepemilikan saham milik pemerintah dan pemegang saham lainnya pada BRI, BRI melakukan penambahan modal dengan HMETD (right issue). Right issue tersebut berpengaruh terhadap penambahan kepemilikan saham yang beredar di masyarakat, sehingga dapat digolongkan sebagai tindakan privatisasi. Provisions that contain procedures for managing a Limited Liability Company are regulated in Law Number 40 of 2007 concerning Limited Liability Companies (UU PT), one of which is the procedure for dismissing members of the Board of Directors. Article 105 of the Company Law stipulates that the dismissal of a member of the Board of Directors is taken after the person concerned is given the opportunity to defend himself. Furthermore, regarding legal protection for the dismissal of members of the Board of Directors who violate the provisions of the Company Law. The Law on Judicial Power regulates the absolute competence of each judiciary. With absolute competence, each judicial body has different jurisdiction to judge. The method used in this study is normative juridical. The results and conclusions of this study are that the dismissal of members of the Board of Directors without any prior self-defense in the GMS is invalid if the members of the Board of Directors object to his dismissal. Legal protection for members of the Board of Directors who are dismissed not in accordance with the provisions of the Company Law is to file a lawsuit to the District Court.BAHASA INDONESIA ABSTRACT:Salah satu sektor yang sedang dikembangkan oleh pemerintah Indonesia adalah pertumbuhan ekonomi, yang berdampak pada meningkatnya Perseroan Terbatas. Ketentuan yang memuat tata cara pengurusan Perseroan Terbatas diatur dalam Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas (UU PT), salah satunya adalah tata cara pemberhentian anggota Direksi. Dalam Pasal 105 UU PT diatur bahwa keputusan pemberhentian anggota Direksi diambil setelah yang bersangkutan diberi kesempatan untuk membela diri. Selanjutnya mengenai perlindungan hukum atas pemberhentian anggota Direksi yang melanggar ketentuan UU PT. Undang-Undang Kekuasaan Kehakiman mengatur mengenai kompetensi absolut setiap peradilan. Dengan adanya kompetensi absolut, maka setiap badan peradilan mempunyai yurisdiksi mengadili yang berbeda-beda. Metode yang digunakan dalam penelitian ini adalah yuridis normatif. Hasil dan kesimpulan dari penelitian ini adalah pemberhentian anggota Direksi dengan tanpa didahului adanya pembelaan diri dalam RUPS adalah tidak sah jika anggota Direksi keberatan atas pemberhentian dirinya. The increase of capital can be done by applying for a loan from the bank. In accordance with prudential principles in banking, one of the important factors that must be included in credit agreement is collateral. Creative industry players, usually can only provide Intellectual Property Rights (HKI), specifically Copyright, as collateral. Since Copyright is classified as intangible movable object, Copyright can be used as collateral by fiduciary basis. The aim of this research is to review the basis of regulations regarding Copyright as a fiduciary security and its implementation at BTPN. As a normative juridical research, this research is based on the analysis of legal norms, from the Civil Code, Law Number 42 of 1999 concerning Fiduciary, Law Number 28 of 2014 concerning Copyright and any other related regulations. From this research, it can be concluded that further regulations is still required to regulate Copyright as collateral. In addition, an appraisal institution is also needed to ensure that the economic value of Copyright can be used as collateral security with the loan value. BAHASA INDONESIA ABSTRACT: Perkembangan industri kreatif di Indonesia menjadi faktor pendorong pelaku usaha untuk meningkatkan modal kerja guna mengembangkan usahanya. Peningkatan modal ini dapat dilakukan dengan cara mengajukan kredit kepada bank. Sesuai dengan prinsip kehati-hatian bank, salah satu faktor penting yang harus ada dalam perjanjian kredit adalah jaminan. Para pelaku industri kreatif biasanya hanya bisa menyerahkan Hak Kekayaan Intelektual (HKI), khususnya Hak Cipta, sebagai jaminan. Karena Hak Cipta tergolong benda bergerak tidak berwujud, maka Hak Cipta dapat dijadikan jaminan fidusia. Penelitian ini ditujukan untuk mengkaji landasan peraturan mengenai Hak Cipta sebagai jaminan fidusia dan implementasinya pada bank BTPN. Sebagai penelitian yuridis normatif, penelitian ini berdasarkan pada analisis norma-norma hukum, yaitu Kitab Undang-Undang Hukum Perdata, Undang-Undang Nomor 42 Tahun 1999 tentang Jaminan Fidusia, Undang-Undang Nomor 28 Tahun 2014 tentang Hak Cipta serta peraturan-peraturan terkait lainnya. Dari penelitian ini dapat disimpulkan bahwa masih dibutuhkan adanya peraturan khusus yang mengatur lebih lanjut mengenai Hak Cipta sebagai jaminan kredit. Regarding the defective procedure in GMS, shareholders will surely suffer losses because their rights are violated, especially minority shareholders. Two problems that arise and examined in this study are: How is the legal protection for minority shareholders in a PLC’s GMS? and How is the responsibility of the Notary for making Deed of the Meeting Resolutions from an Extraordinary GMS containing the defective procedures in a PLC? This research is normative legal research. Based on the research conducted, it can be concluded that legal protection for minority shareholders in PLC’s GMS, has been quite well regulated in Laws of the Republic of Indonesia number 40 of 2007 concerning Limited Liability Company. On the other hand, the responsibility of the Notary for making Deed of the Meeting Resolutions from an Extraordinary GMS containing the defective procedures in an LLC is a liability limited to formal truth or formal requirements. Regarding the material truth, it is not the responsibility of the notary but is the responsibility of the legal subject who performed the legal action. Notary in carrying out his position also requires having thoroughness and carefulness in doing any legal action, including making Deed of the Meeting Resolutions.BAHASA INDONESIA ABSTRACT: Dalam praktek, sering sekali terjadi penyelenggaraan RUPS PT Tertutup yang mengandung cacat prosedur, yang kemudian dituangkan dalam Akta Pernyataan Keputusan Rapat oleh Notaris. Terhadap adanya penyelenggaraan RUPS yang mengandung cacat prosedur, para pemegang saham pasti akan mengalami kerugian karena hak-hak mereka dilanggar, khususnya para pemegang saham minoritas. Dua rumusan masalah yang timbul dan diteliti dalam penelitian ini adalah: Bagaimana perlindungan hukum bagi pemegang saham minoritas dalam RUPS PT Tertutup? serta Bagaimana pertanggungjawaban Notaris atas pembuatan Akta Pernyataan Keputusan Rapat dari penyelenggaraan RUPS Luar Biasa yang mengandung cacat prosedur pada PT Tertutup? Penelitian ini adalah penelitian hukum normatif. Juridically, the mechanism of brand dispute resolution can be done through litigation in the Commercial Court, as well as non-litigation by using an alternative mechanism for dispute resolution, either through arbitration, negotiation, mediation, conciliation, or other ways agreed upon by both parties of the dispute. The final result of the parties' dispute settlement agreement is resolution which is poured into a form of peace treaty made before a Notary. To see the position of the notarial deed in resolving disputes over brand deletions outside court, especially in the dispute over the \"X\" trademark between PT CPS and the inheritors of HK’s trademark, research is needed on the certainty of the enforceability and power to bind a peace agreement made before a Notary. In this study, the type of research used is normative legal research with law and case approach. From the result of this study, it can be concluded that the peace agreement between the parties was made in the form of a deed of peace before the Notary and binds the parties as a law for the parties and has perfect proof power. BAHASA INDONESIA ABSTRACT: Dewasa ini berbagai macam sengketa dapat timbul dalam masyarakat. Dalam menyelesaikan sengketa, para pihak yang bersengketa diberi kebebasan untuk memilih forum penyelesaian sengketa sesuai dengan keinginannya. Skema penyelesaian sengketa di luar pengadilan diperkuat oleh Undang-Undang Nomor 30 Tahun 1999 tentang Arbitrase dan Alternatif Penyelesaian Sengketa. Secara yuridis, mekanisme penyelesaian sengketa merek dapat dilakukan melalui litigasi di Pengadilan Niaga atau non litigasi dengan menggunakan mekanisme alternatif penyelesaian sengketa, baik melalui arbitrase, negosiasi, mediasi, konsiliasi, maupun cara-cara lain yang dipilih oleh para pihak yang bersengketa. Hasil akhir dari kesepakatan penyelesaian sengketa para pihak adalah perdamaian yang dituangkan ke dalam bentuk akta perdamaian yang dibuat di hadapan Notaris. Untuk melihat kedudukan akta Notaris dalam penyelesaian sengketa penghapusan merek di luar pengadilan, khususnya dalam sengketa merek “X” antara PT CPS dan ahli waris almarhum HK, diperlukan penelitian mengenai kepastian keberlakuan dan kekuatan mengikat perjanjian perdamaian yang dibuat di hadapan Notaris. Dalam penelitian ini, jenis penelitian yang digunakan adalah penelitian hukum normatif dengan pendekatan undang-undang dan kasus. However, not all entrepreneurs are aware of this provision. As consequence of the delay, entrepreneurs are potentially subject to wide range of sanctions starting from warning letter, fines, to the worst scenario which is the cancellation of the corporate action. Law Number 40 of 2007 concerning Company Law governs that all corporate action including mergers, acquisition and consolidation should be drawn in form of notarial deed and the Notary has an access to report such action to the Minister of Law and Human Rights if necessary. While the entrepreneurs appear before the Notary to make merger, acquisition or consolidation deed, the Notary may advise the entrepreneurs to notify KPPU if such merger is potentially fulfill certain condition under Law No.5 of 1999. However, Notary must also be aware that his role is limited by his responsibility to keep private information disclosed by the party before him. In connection with those conditions, this research provides elaboration on how Notary should take a role in merger action and his limitation in it.BAHASA INDONESIA ABSTRACT: Undang-Undang Nomor 5 Tahun 1999 tentang Persaingan Usaha mengatur bahwa dalam hal terjadi aksi korporasi yang menyebabkan monopoli, maka pelaku usaha wajib untuk memberikan pemberitahuan atas peristiwa tersebut dalam jangka waktu 30 (tiga puluh) hari kepada Komisi Pengawas Persaingan Usaha (KPPU). Akan tetapi, tidak semua pelaku usaha memahami ketentuan ini. Oleh sebab itu, pada beberapa kasus pelaku usaha dikenai sanksi yang bervariasi, mulai dari surat teguran, denda dalam jumlah besar, hingga pembatalan aksi korporasi tersebut. Sehubungan dengan kondisi ini, Undang-Undang Nomor 40 Tahun 2007 tentang Perseroan Terbatas mengatur bahwa setiap aksi korporasi yang meliputi penggabungan, peleburan dan pengambilalihan akuisisi harus dituangkan persetujuannya oleh para pemegang saham dalam suatu akta notariil dan dilaporkan oleh Notaris kepada Menteri Hukum dan Hak Asasi Manusia apabila diperlukan. Sehubungan dengan pengaturan tersebut, maka setiap kali para pelaku usaha hadir di hadapan Notaris untuk membuat akta atas aksi korporasi, Notaris dapat mengambil peran untuk mencegah terjadinya keterlambatan pemberitahuan tersebut melalui pemberian penyuluhan kepada para penghadap. Akan tetapi, Notaris juga harus tahu bahwa perannya tersebut juga terbatas pada kewajibannya untuk menjaga informasi dari para pihak yang menghadapnya. Derawan Islands, Maratua Island and the small islands around them have beautiful underwater landscape, located in Berau Regency, East Kalimantan. Many buildings established in the form of hotels and resorts located on the seashore are built to protrude into the sea or even use sea space or space above the sea. Hotels and resorts in the Derawan Islands have land rights in the form of Ownership Right and a small portion is Use Right. This research aims to study and analyze the utilization of space above the sea for tourism resort building in Derawan Islands in terms of applicable laws and regulations in Indonesia. This research is a qualitative research with normative juridical methods and uses deductive analysis. From the result of this research, it is concluded that utilization of space for tourism resort building that is located above the sea in Derawan Islands violates article 4 paragraph 1, article 4 paragraph 2 and article 16 paragraph 2 of Basic Agrarian Law. The object of land rights is only land and people can own it where the scope is only ground or earth surface. Tourism resort builidings that do not have location permits and management permits violate article 47 of Maritime Law and might be subject to criminal sanctions according to article 49 of Maritime Law.BAHASA INDONESIA ABSTRACT: Indonesia adalah negara kepulauan di mana sektor pariwisata memiliki peranan penting untuk menciptakan lapangan kerja dan meningkatkan pertumbuhan ekonomi. Kepulauan Derawan, Pulau Maratua dan gugusan-gugusan pulau kecil di sekitarnya memiliki pemandangan bawah laut yang indah yang terletak di Kabupaten Berau, Kalimantan Timur. Bangunan berupa hotel dan resort banyak didirikan di pinggir pantai, kemudian dibangun sampai menjorok ke laut atau bahkan menggunakan ruang laut atau berada di atas laut. Hotel dan resort di Kepulauan Derawan tersebut memiliki hak atas tanah berupa Hak Milik dan sebagian kecil merupakan Hak Pakai. Penelitian ini bertujuan untuk mengkaji dan menganalisis pemanfaatan ruang di atas laut untuk bangunan resort pariwisata di Kepulauan Derawan dikaitkan dengan beberapa peraturan perundang-undangan di Indonesia. Penelitian ini merupakan penelitian kualitatif dengan menggunakan metode yuridis normatif. Analisis yang digunakan adalah deduktif analitis. Pendekatan yang digunakan di dalam penelitian ini adalah pendekatan konseptual dan pendekatan peraturan perundang-undangan. Dari hasil penelitian tersebut, disimpulkan bahwa pemanfaatan ruang di atas laut untuk bangunan resort pariwisata di Kepulauan Derawan tidak sesuai dengan Pasal 4 ayat (1), Pasal 4 ayat (2) dan Pasal 16 ayat (1) UU Pokok Agraria karena yang menjadi objek hak atas tanah adalah hanya tanah darat di mana yang dapat dihaki oleh orang hanya permukaan bumi yang disebut dengan tanah.
