{"title":"“Feudal Barons Extracting Tribute”: Narratives of Market Power in the Australian Retail Property Sector during the 1980s","authors":"M. Bailey","doi":"10.1017/eso.2021.36","DOIUrl":"https://doi.org/10.1017/eso.2021.36","url":null,"abstract":"This article analyzes the ways that shopping center tenants deployed narratives to encourage government intervention in the Australian retail property sector during the 1980s. Tenants claimed that landlords were abusing their market power through a range of egregious and exploitative practices. Landlords responded with stories of their own, claiming that amateurish retailers were using isolated cases to make broad generalizations about the industry as a whole. Politicians retold retailers’ stories in Parliament, championed small business enterprise as a driver of economic growth, and produced retail leasing legislation aimed at protecting shopping center tenants. In the process, established conceptions of shopping centers were inverted. In the 1960s and 1970s they were seen as bastions of capitalist enterprise constructed by nation-building visionaries. Through stories, retailers captured the cultural legitimacy of entrepreneurship from their landlords, who were characterized as feudal barons blocking the free operation of markets they controlled. This article explores the impact of a rapidly altered business environment, due to economic crisis, the decline of relational subcontracting, and technological change, on the management and organization of firms. It provides a needed historical account of Japanese SMEs striving to avoid “hollowing out,” and detailed case studies explain what gaining greater independence as a flexible specialist meant in practice. A focus on the immediate advantages of computerized tools could not bring about the intended strategic objectives, whereas the systemizing of new and existing resources in skills and equipment enabled sustainable competitive differentiation in production and products. {"title":"Patent Law and the Materiality of Inventions in the California Oil Industry: The Story of Halliburton v. Walker, 1935–1946","authors":"Gerardo CON DÍAZ","doi":"10.1017/eso.2021.28","DOIUrl":"https://doi.org/10.1017/eso.2021.28","url":null,"abstract":"This article examines a patenting conflict between the Halliburton Oil Well and Cementing Company and an independent inventor named Cranford Walker. It argues that Halliburton’s effort to lower the barriers to entry into the oil well depth measurement industry facilitated the re-emergence of materiality as a pre-condition for the patent eligibility of inventive processes. In 1941, Walker sued Halliburton for infringement of three of his patents, and Halliburton responded with an aggressive defense aimed at invalidating them. Over the next five years, the courts handling this conflict adopted very narrow legal theories developed during the Second Industrial Revolution to assess the patent eligibility of inventions that involved mental steps—processes such as mathematical computations, which people can perform in their minds. One such reform was the introduction of a locally funded Poor Law in Ireland. The development of a nascent welfare system in 1838 coincided with a boom in the formation of microfinance institutions in Ireland. The focus of this study is the expansion of a hybrid organizational form, Loan Fund Societies (LFSs), in the ten years prior to the Great Irish Famine of 1845–1849. LFSs were legally established with a conflictual structure: acting as commercially viable charitable institutions required to provide credit to the deserving poor (to enable them to be self-sufficient) while dedicating their \"profits\" to supporting the indigent poor. This study uses an analytical framework drawing inspiration from institutional logics to explore and better understand Irish microfinance in the early nineteenth century, a period of profound socioeconomic and socio-religious changes. It seeks to explain the factors that motivated the establishment and de-establishment of microfinance institutions amid this tumult. Enzo Ferrari, the company’s founder, adopted the coat of arms of Francesco Baracca, the most renowned Italian military aviator during World War I, as the logo of his new racing team. By repurposing it from military aviation to motorsport, he benefitted from powerful cultural associations and strong political and cultural endorsement of Baracca’s persona. Drawing from scholarship on cultural branding and consumer culture, this study shows how new companies can establish powerful business icons by borrowing symbols connected to populist worlds and national ideologies, and transferring them to various industries. Their basic form and functioning have remained largely the same, but over time, the repackaging has come to serve different purposes. Originally set up for administrative convenience, they helped to create liquidity, notably for foreign securities. From the 1930s, their primary purpose became to shield directors of large corporations from shareholder influence and hostile takeover threats. Subsequently, the trust offices evolved from general-purpose administrative units into dedicated foundations closely tied to individual companies and increasingly popular with foreign corporations as cheap anti-takeover devices.
