In recent years, with the continuous expansion of the new energy vehicle industry and the transformation of the national economy into an innovation-driven one, the centralized financial subsidy policy for new energy vehicles has undergone tremendous adjustments marked by the withdrawal of the \"national subsidy\". Using the historical institutionalism analysis framework, we systematically review the history of China's new energy vehicle subsidy policy, and divide it into four stages: the creation of the pilot stage, rapid expansion, comprehensive promotion, and adjustment and change. From the structural viewpoint, factors such as national economic development, global industrial competition, and changes in the concept of development have, to varying degrees, contributed to the change in the financial subsidy policy for new energy vehicles. From the historical point of view, the financial subsidy policy has been continuously self-reinforcing under the learning effect, coordination effect and adaptive expectation, but also due to the negative incentives for market players to take malicious subsidy fraud to make the contradictions gather and explode, which constitutes a key node of policy change. Green technology innovation is one of the key factors to promote enterprises to realize environmentally sustainable development. Based on previous research on: first, manufacturing companies should conduct environmental impact assessment and management to assess the environmental impact of product life cycle and take measures to reduce the negative impact. Second, renewable energy applications are an important direction for green technology innovation, and manufacturing companies can shift to renewable energy sources such as solar and wind to reduce their dependence on traditional energy sources. Third, circular economy and product design are also the focus of research, through product design to reduce resource use and waste, and introduce the concept of circular economy to promote the recycling of materials and energy. Especially in recent years, FDI has always played an important role in the technological progress and economic transformation of Henan Province. This article uses a combination of theoretical and empirical methods. The first step analyzed the relevant domestic and foreign research situation, at the same time demonstrated the article's empirical analysis ideas and analysis methods, and analyzed the current situation of the current FDI introduction in Henan Province, using the entropy method to quantify the status of independent innovation capability in Henan Province. In the empirical study, we selected data from Henan Province for 10 years, selected the comprehensive evaluation value of independent innovation capability of Henan Province as the dependent variable, FDI and foreign trade dependence degree as two main independent variables to conduct linear regression analysis and examine them through cointegration test. The causal relationship between. The research results show that: FDI has a positive effect on the development of independent innovation capability in Henan Province. Perhaps we should consider introducing a fiduciary duty system and learning from the legal systems of the United States and the United Kingdom to protect the interests of small and minority shareholders. In the state of Delaware, often referred to as the world's corporate capital, a shareholder lawsuit involving \"the world's richest person,\" Elon Musk, and his prideful Tesla company unfolded in the Delaware Chancery Court. It immediately attracted the attention of business owners, investors, and corporate legal scholars from across the United States and the world. Since Tesla officially announced the acquisition of Musk's affiliated enterprise in 2016, SolarCity, founded by his cousins, a protracted legal battle initiated by a substantial group of plaintiffs lasted for over five years, finally coming to an end in early 2022 with Musk's victory. This enduring lawsuit, centered around whether Musk violated his fiduciary duties to minority shareholders under Delaware corporate law, with its lengthy process, complex evidence, and the judge's astute rulings, has provided us with insights into the examination logic and techniques applied by top-tier corporate law regarding fiduciary duties.
