This legal analysis demonstrates how EU law allocates power and responsibility between the State and the markets in the electricity sector to ensure the uninterrupted availability of affordable electricity. The article argues that the allocation of roles and responsibilities has been similarly structured in respect of different timescales of security of supply in the Clean Energy for All Europeans package. The options for, and the opportunities for evolution in, how LNG is priced (whether locally, regionally or even globally, with indexation to crude oil prices or to reported gas hub prices) have also been widely discussed in industry literature. This text shows that the political controversy surrounding Nord Stream 2 does not necessarily translate to legal controversy. The text does so by considering three controversially discussed European and international legal aspects of the Nord Stream 2 project. The article commences by evaluating whether and how [whether and how] the recent amendment to the European Union (EU) Directive 2009/73/EC concerning common rules for the internal market in natural gas affects the legal status of Nord Stream 2. The text concludes that Directive 2009/73/EC (as amended) makes it considerably more difficult to operate Nord Stream 2. It will also be established that legal uncertainty remains concerning the amended Directive’s compliance with European and international law, and that bilateral relations between Russia and Germany are, in any case, unaffected by changes in EU law. The article then proceeds to evaluate the argument that Germany’s involvement with Nord Stream 2, in light of Russia’s annexation of Crimea and Sevastopol, violates international law since Germany, by doing so, violates the obligation not to recognize or support annexation by an aggressor state. This argument is rejected. Even if one assumes that Russia’s annexation of Crimea and Sevastopol was unlawful, Germany’s support of Nord Stream 2 cannot be legally construed as support for Russia’s activities concerning Crimea and Sevastopol. Finally, the article considers the international legal framework conditioning the currently still outstanding permission by Denmark to lay Nord Stream 2 pipelines through the Danish territorial sea/the Danish Exclusive Economic Zone. Patterson","doi":"10.1093/jwelb/jwz032","DOIUrl":"https://doi.org/10.1093/jwelb/jwz032","url":null,"abstract":"We identify nine categories of clauses in Host Government Instruments (HGIs, ie licences, concessions, production sharing contracts (PSCs), etc.) that potentially affect the Fair Market Value of petroleum exploration and production rights, in addition to the clauses quantifying the fiscal terms. The categories comprise state participation, performance bonds and penalties for failing to perform minimum work programmes, local content, decommissioning, natural gas terms, stabilization, assignment and change of control, renewals and extensions and governance issues. For each category, we review and summarize global practice in the top 50 oil-producing countries. We quantify our analysis using statistics from a data set of 55 representative HGIs, including contemporary alternative types for five countries. The age of each HGI used varies, guided by the history of oil production in each country. Texts are available for 53 HGIs and published summaries are available for the other two. The discussion provides a checklist for use in negotiating new HGIs or performing due diligence for transactions involving existing HGIs. Our choice of representative HGIs and our characterizations of some clauses are both in part subjective. These developments again triggered the attention of the legal community to various legal aspects of the TNPPs. In this context, different opinions concerning the applicability of the existing nuclear liability conventions vis-á-vis TNPPs were expressed. According to one line of interpretation, the existing nuclear liability conventions do apply also to a TNPP anchored at a coast to deliver electricity to the grid. This article questions such opinion. It argues, that a TNPP cannot be considered a ‘nuclear installation’ in the sense of the existing nuclear liability conventions, when anchored at the coast. Increased energy flows to Asia present a major shift in energy trade as Asia’s share of global energy demand rises. The shale revolution has enabled the United States (U.S.) to become the world’s largest oil and gas producer accounting for more than half of the world’s production. Renewable energy sources have become more important as countries are challenged to meet the climate goals set by the Paris Agreement. Nuclear Energy seems to be the energy source that can most dramatically help reducing carbon emissions rapidly. Gas demand will grow rapidly over the next 20 years as countries move to decarbonize their energy matrix, given it is a cleaner fuel for power generation than coal. The purpose of this article is to show the effects of global energy trade, its effects on the way countries interact with each other and how local energy law and policy are nonetheless affected by the shifts in the energy market. We will use North America (Canada, Mexico and the U.S.) as an example of the complexity of such interactions and the effects is having (or should have) in regional energy markets.
