Tra questi certamente meritano una menzione speciale le tematiche relative a Environment, Social and Governance e di Corporate Social Responsibility, che oggi permeano mass media e influenzano il sentire comune: fino al punto di sostenere che le imprese debbano abbandonare l'obiettivo del profitto per perseguire invece finalità ambientali e sociali. Nel lavoro si dimostra quanto sbagliata e pericolosa, perché contraria all'interesse generale, risulti tale posizione. Così, attraverso un percorso argomentativo, si riconcilia la shareholder theory con la stakeholder theory, dimostrando che la ricchezza prodotta dall'impresa non è una bene di cui beneficiano solo gli azionisti ma tutta la società nel suo insieme, e che ciò è possibile solo se viene perseguito l'obiettivo di ottimizzazione, e non necessariamente massimizzazione, della creazione di valore per gli azionisti. In particolare, analizza la diffusione della dual leadership, ovvero la presenza di due amministratori delegati (co-AD), in contrapposizione alla tradizionale leadership unitaria. Recenti studi indicano che il fenomeno della leadership condivisa è in crescita a livello internazionale. La letteratura sottolinea anche che la nomina di co-AD è una delle possibili risposte organizzative per gestire efficacemente la crescente complessità esterna. La nomina di co-AD consentirebbe, infatti, all'impresa di ampliare la gamma di competenze ed esperienze manageriali disponibili. In questo lavoro, analizziamo tale fenomeno con riferimento alle imprese quotate italiane nel periodo 2005-2014. I risultati dello studio confermano la diffusione crescente della leadership condivisa, soprattutto nelle imprese familiari. Il presente lavoro si propone di indagare le pratiche di governance e gli strumenti di gestione del rischio di credito adottati per rilevare tempestivamente segnali di squilibrio economico e finanziario delle società. Di conseguenza, è stata prima condotta una revisione approfondita dei modelli di previsione dell'insolvenza per illustrare limiti e punti di forza ampiamente discussi in letteratura. In secondo luogo, si è fatto ricorso all'analisi di un case study per descrivere sia la metodologia dell'Early Warning System (EWS), sia le pratiche di governance interna adottate per monitorare e gestire tempestivamente i segnali di deterioramento del merito creditizio. I risultati evidenziano la necessità di combinare modelli quantitativi con un approccio di tipo judgmental per costruire un processo di monitoraggio in grado di intercettare anomalie ed evitare errate classificazioni. Il presente contributo propone una razionalizzazione in chiave aziendalistica per evitare il rischio di riconoscere una natura inopportunamente oggettiva alla fattispecie.Nesso di causalità e misurazione del danno vengono riletti con la lente delle teorie manageriali e della creazione di valore, in modo da ottenere una valutazione più oggettiva che funga da giusto equilibrio tra tendenze eccessivamente garantiste e approcci inopportunamente deterministici. In order to identify these factors, was conducted a literature review which produced 3 assumptions, one for each driver identified. Subsequently, it was carried out a quantitative analysis on two samples of centenary family businesses belonging to different geographical areas, one Italian and one Spanish, with the aim of testing the validity of the assumptions and verifying similarities, differences and points of contact between the two selected samples. The results of this survey were operationalized into specific variables and statistically processed to offer a complete reconnaissance of the universe under investigation. Namely, there have not been concrete attempts to map long-lived companies still in operation on a global scale. In this direction, this paper aims to census firms that survived over at least 100 years worldwide, whatever their size or branch of industry. The research allowed the authors to discover the countries and the industries in which centenarian firms are most concentrated and to investigate their characteristics, such as their size or the year of their foundation. Perhaps due to its scarcity, few quantitative data are available on this type of company. This paper analyzes, based on a sample of 120 Spanish centenary companies, the differences between family and non-family centenary companies, from a quantitative and exploratory perspective. Likewise, a comparison is made with a control sample of another 120 non-centenarian companies in order to draw conclusions. The analysis shows that there are more non-family centenary companies than family companies, although the latter obtain higher returns and have a more robust financial structure (less indebtedness and more liquidity) than the rest of the companies. In this complex context, some family firms are capable to address major changes drawing upon the experience of their longevity, passing the legacy across generations (Zellweger et al., 2012). In the last decades, changes have accelerated, but these family businesses continue to build on their capacity for resilience and their willingness to continue keeping the business in hands of the owning family. There is already some research about centenarian family firms, but generally this is not yet a well-studied topic in the field despite its relevance. Previous research includes works about the features of centenarian family firms, and some more about longevity. Some of the previous studies focused on the values as a key factor to explain the longevity of family firms. Koiranen (2002) conducted an exploratory study on the values of Finnish centenarian family firms, stating that “values are the result of a historical process in which people gradually accept and internalize beliefs and values based on the leader’s (often the founder’s) vision after it has shown to be successful. (p.185)”. In this way, Kammerlander et al. (2015) point out that shared stories could be a relevant way of transmitting the founder’s path across generations in order to maintain it in the long term, and Salazar (2022) explains how the archetype of hero can be a useful tool to provide inspiration and sense to family members in every generation. Tàpies and Fernández-Moya (2012) focus their research on the influences of values on longevity of family firms.
