In many cases, there is a special interest for the parties in litigating before the courts of a certain State; the “forum shopping” mechanism is acquiring special relevance in order to obtain the most favorable forum, in particular regarding the applicable Law. Currently the main rule for international jurisdiction in the European Union is founded on Regulation 2201/2003. Its section 3 contains a wide number of grounds of jurisdiction for this purpose. The application of this Regulation has displaced the Spanish internal rules (section 22, Organic Act on the Judiciary 1985). Concerning the application of the mentioned Regulation, the Supreme Court has addressed some controversial issues related to the determination of the international jurisdiction of Spanish courts on divorces. After critically reviewing the national literature and case law, it is argued that the annotation of the agreement in the firm records and its deposit in the company in practice involve little publicity, consistent with the fact that, in the rest of the sta-tute, the register of shareholders lacks projection towards third parties, such as an acquirer of shares. {"title":"RAWLS AND TORT LAW: A CRITIQUE OF RIPSTEIN","authors":"Leandro Martins-Zanitelli","doi":"10.4067/s0718-80722021000200085","DOIUrl":"https://doi.org/10.4067/s0718-80722021000200085","url":null,"abstract":"The article challenges Arthur Ripstein’s theses on the place of private law (and tort law in particular) in John Rawls’ theory of justice. According to Ripstein, Rawls’ theory of justice grants private law a certain independence by exempting it from the distributive injunctions of the principles chosen in the original position. This conclusion has two bases, one negative and the other positive. On the negative side of the argument, Ripstein claims that Rawls’ original position does not lend itself to guiding the design of institutions, especially those institutions with a deontological structure such as tort law. On the positive side, Ripstein resorts to the idea of a division of responsibility between citizens and social institutions (an idea that Rawls presents in “Social Unity and Primary Goods”) to demonstrate Rawls’ commitment to a pre-institutional conception of ownership and to the independence of private law that would ensue. The article argues that Ripstein is wrong in neglecting the role of the original position and the principles chosen in that position and exaggerates the consequences for private law of the division of responsibility between citizens and institutions. For this reason and considering the growth of the intangible-based economy in the 21st century, it becomes necessary and opportune to design a new constitutional provision that does not thoughtlessly refer to the general rule on property, in order to show the instrumental nature of intellectual property, as a tool to solve the “public good” market failure that affects the goods that are its object (which are non-rivalrous and non-excludable). Therefore, a new constitutional rule must be based on the promise of intellectual property, that is, optimizing the equilibrium between creation and access to knowledge, thus providing a general framework so that the legislator, public offices and adjudicators can then “update” such equilibrium considering the state of development of the country. The article proposes a text of constitutional provision that can be grounded in Ralwsian terms, that is, from a hypothetical scenario of “original position”.
