Namun pada kenyataannya, justru perjudian semakin marak dilakukan dengan cara sembunyi-sembunyi maupun secara transparan. Selain bentuk perjudian yang telah dikenal beroperasi di sejumlah tempat di Indonesia, khususnya di Bali seperti perjudian sambung ayam, ceki, toto gelap (togel), bola adil dan lainnya, tentunya membutuhkan sarana dan prasarana untuk melangsungkan perjudian tersebut. Sehingga timbulah niat seseorang atau lebih untuk memberikan pembantuan untuk melangsungkan perjudian tersebut yang memberi kesempatan kepada khalayak umum untuk bermain judi. Permasalahan dalam penelitian ini adalah bagaimanakah pengaturan pembantuan sebagai salah satu bentuk tindak pidana di Indonesia dan Bagaimanakah sanksi pidana terhadap pelaku pembantuan dalam tindak pidana perjudian dalam Putusan Nomor 94/Pid.B/2017/PN Gin. Metode penelitian yang digunakan adalah metode penelitian Normatif, dengan melakukan pendekatan perundang-undangan dan pendekatan konseptual. Setelah bahan hukum terkumpul, kemudian diolah dan dianalisis dengan menggunakan argumentasi hukum, deduktif–induktif, dan dituangkan secara deskriptif dalam bentuk penelitian. Hasil penelitian dapat disimpulkan bahwa pembantuan sebagai salah satu bentuk tindak pidana diatur dalam Pasal 56 mengenai bentuk dari pembantuan, Pasal 57 mengenai sistem pertanggungjawaban pembantuan , dan Pasal 60 mengenai penegasan pertanggungjawaban pembantuan. In each phases of the drafting of legislation, it involves the drafter of such legislation. The problem in this article is regarding the position and the duty of a drafter during the drafting of a local legislation as well as the implementation of the participation of a drafter in drafting of local legislation in the province of Bali. This research uses empirical legal research method. The result of this research shows that the position and duty of a drafter of a legislation in the drafting of local legislation is very important, namely to prepare, process, and formulate the draft of legislation and other legal instruments. Moreover, the implementation of the participation of the legislative drafters in the drafting of local legislation in the province of Bali, there are still 3 Districts or Cities which have not involve a drafter in the drafting of local legislation. The comparison of revoked legislation from the year 2013-2018 between Districts or Cities which do involve drafters and the Districts or Cities which do not involve a drafter shows a significant gap of numbers. However in the year 2018, the implementation of the drafters' involvement in the drafting of local legislation in the provincr of Bali is starting to be involved from the beginning to the final phase. Therefore the implementation of the drafters' involvement is starting to proceed effectively. The legal effect of not involving drafters explicitly, no legislation has clearly sanctioned such situasion, hence, there is an empty norm in this case. \u0000 \u0000Pemerintah Daerah berhak menetapkan peraturan daerah dan peraturan perundang-undangan lain untuk melaksanakan otonomi dan tugas pembantuan. Dalam setiap tahapan pembentukan peraturan perundang-undangan mengikutsertakan perancang peraturan perundang-undangan. Permasalahan dalam penelitian ini adalah mengenai kedudukan dan tugas perancang dalam pembentukan perda serta pelaksanaan keikutsertaan perancang dalam pembentukan perda di Provinsi Bali. Penelitian hukum ini menggunakan metode empiris. Hasil penelitian menunjukkan bahwa Kedudukan dan Tugas Perancang Peraturan Perundang-undangan dalam Pembentukan Peraturan Daerah sangat penting yaitu menyiapkan, mengolah, dan merumuskan rancangan peraturan perundang-undangan dan instrumen hukum lainnya. Sedangkan Pelaksanaan Keikutsertaan Perancang Peraturan Perundang-undangan Dalam Pembentukan Peraturan Daerah Di Provinsi Bali, masih terdapat 3 Kabupaten atau Kota yang belum melibatkan perancang dalam pembentukan perda. Perbandingan jumlah perda yang dicabut dari tahun 2013-2018 antara Provinsi atau Kabupaten yang melibatkan perancang dengan Kabupaten atau Kota yang belum melibatkan perancang tidak menunjukkan perbandingan jumlah angka yang signifikan. In this case there will be a bad impact which so danger for the hate speech victim, so in this case the writer’s get two solution to handle hate speech, that are protection law of hate speech victims and punishment criminal for the people who does hate speech. In this legal opinion writing, I am as a writer use normative method. In my experience, I do problem approach constitution which has related with hate speech, and then this research material reviewed. The result of this research is about law protective for the hate speech victims so that achievement can be protect them and the hate speech victims can feels safe. Jika hate speech tidak di tangani dengan efektif, efesien dan ditangani sesuai hukum yang berlaku, bisa menimbulkan suatu dampak konflik sosial yang bisa memicu tindak diskriminasi, kekerasan dan atau penghilangan nyawa. Dengan timbulnya dampak yang sangat membahayakan bagi korban hate speech, maka penulis mendapatkan dua rumusan masalah dalam menangani hate speech yaitu, perlindungan hukum bagi korban hate speech dan sanksi pidana bagi pelaku hate speech. Penelitian ini mengunakan metode penulisan normative dan menggunakan pendekatan permasalahan perundang-undangan yang berkaitan dengan hate speech Kemudian bahan penelitian di kaji. The formulation of the problem in this case is (1) what is the position of the minority shareholders for the limited liability company that merges? (2) What is the legal protection of minority shareholders in a limited liability company that merges? This research method uses a normative research method by approaching the problem in the form of a draft law that relates to the problem under study. The sources of legal material to be used are sourced from research, the literature in the form of primary legal material and secondary legal material. The result of this study are the legal position of the minority shareholders of the company (PT) that carried out the merger has been regulated in Law number 40 of 2007 concerning Limited Liability Companies and in Government Regulation Number 27 of 1998 concerning merger, consolidation and takeover of the interests of minority shareholders. In general, the law of limited liability companies is a guideline in the framework of protecting minority shareholders. Protection of minority shares is one of the important things, especially when the company conducts legal actions such as mergers, both preventive legal protection and repressive legal protection. \u0000Keywords: Legal protection, shareholders, mergers \u0000 \u0000Abstrak- Merger dapat dikatakan sebagai strategi atau salah satu cara untuk meningkatkan suatu perusahaan oleh karena itu perlu adanya perlindungan hukum terhadap pemegang saham minoritas apabila mereka tidak setuju dengan merger namun merger tetap dilaksanakan, dan pemegang saham tersebut dipaksakan untuk menerima merger tersebut. Adapun rumusan masalah dalam hal ini (1) Bagaimanakah kedudukan pemegang saham minoritas bagi perseroan terbatas yang melakukan merger?
