Thomas","doi":"10.2139/SSRN.1477564","DOIUrl":"https://doi.org/10.2139/SSRN.1477564","url":null,"abstract":"We analyze voting data from five proxy seasons (2003-2008) to identify the extent to which shareholders generally, and mutual funds in particular, vote in accordance with the voting recommendations of RiskMetrics’ ISS Corporate Governance Services. We look at voting by all shareholders and voting decisions by mutual funds on non-election and non-routine proxy proposals - both those submitted by management and those submitted by shareholders. We find that shareholders generally tended to vote more consistently with ISS voting recommendations than management recommendations during this period, with more consistency among mutual funds than all shareholders. We also find that independent voting is unusual: Shareholder voting and, even more so, mutual fund voting decisions generally follow either the recommendations of management or of the ISS. Mutual fund voting decisions are consistent with ISS recommendations more frequently than management recommendations, whether the proposal is submitted by management or by shareholders, and whether relating to anti-takeover issues or corporate governance issues. Our univariate results are confirmed by multivariate regressions that examine the weight mutual funds give to ISS recommendations. In short, ISS has an impact on voting by shareholders generally and, across the board, an even greater impact on voting by mutual funds.","PeriodicalId":83467,"journal":{"name":"Villanova law review","volume":"55 1","pages":"1"},"PeriodicalIF":0.0,"publicationDate":"2009-09-23","publicationTypes":"Journal Article","fieldsOfStudy":null,"isOpenAccess":false,"openAccessPdf":"https://sci-hub-pdf.com/10.2139/SSRN.1477564","citationCount":null,"resultStr":null,"platform":"Semanticscholar","paperid":"68185641","PeriodicalName":null,"FirstCategoryId":null,"ListUrlMain":null,"RegionNum":0,"RegionCategory":"","ArticlePicture":[],"TitleCN":null,"AbstractTextCN":null,"PMCID":"","EPubDate":null,"PubModel":null,"JCR":null,"JCRName":null,"Score":null,"Total":0}

This essay raises two questions associated with this development. First, what would an age of predictable judicial behavior look like? Second, would satisfying the informational needs of ELS prediction models also exhaust the demands for \"judicial transparency\"? My conclusions are that a state of predictable judicial behavior, if somehow stable, would leave almost no litigation to observe; and that a prediction-oriented information policy would nearly meet the demands of today's transparency advocates. One shortfall involves the intrinsic/consumption value of adjudication for intellectuals and others. A prediction-oriented policy would not meet that demand and could even thwart its satisfaction which presents an unappreciated normative choice for information policy.","PeriodicalId":83467,"journal":{"name":"Villanova law review","volume":"52 1","pages":"829"},"PeriodicalIF":0.0,"publicationDate":"2008-04-01","publicationTypes":"Journal Article","fieldsOfStudy":null,"isOpenAccess":false,"openAccessPdf":"","citationCount":null,"resultStr":null,"platform":"Semanticscholar","paperid":"68144649","PeriodicalName":null,"FirstCategoryId":null,"ListUrlMain":null,"RegionNum":0,"RegionCategory":"","ArticlePicture":[],"TitleCN":null,"AbstractTextCN":null,"PMCID":"","EPubDate":null,"PubModel":null,"JCR":null,"JCRName":null,"Score":null,"Total":0}

First available via dial-up connections, access migrated to the Web in 1998. That and a succession of other improvements to the federal \"Public Access to Court Electronic Records\" system or PACER prompted the Administrative Office of the United States Courts to proclaim in 2001 that \"the advancement of technology has brought the citizen ever closer to the courthouse.\" Unquestionably, what the Administrative Office of the U.S. Courts and Judicial Conference of the United States have built offers citizens, businesses, journalists, and scholars unprecedented access to the details of individual court proceedings. But to hold PACER in that frame is to miss much of its impact. Moreover, some of the gains one might hope or expect to flow from enhanced judicial transparency remain largely untouched by this system. The article explores PACER's evolution, larger impact, and unrealized possibilities. It then proceeds to examine why state courts are, in general, approaching online access to court records so differently.","PeriodicalId":83467,"journal":{"name":"Villanova law review","volume":"53 1","pages":"855"},"PeriodicalIF":0.0,"publicationDate":"2008-03-14","publicationTypes":"Journal Article","fieldsOfStudy":null,"isOpenAccess":false,"openAccessPdf":"","citationCount":null,"resultStr":null,"platform":"Semanticscholar","paperid":"68140799","PeriodicalName":null,"FirstCategoryId":null,"ListUrlMain":null,"RegionNum":0,"RegionCategory":"","ArticlePicture":[],"TitleCN":null,"AbstractTextCN":null,"PMCID":"","EPubDate":null,"PubModel":null,"JCR":null,"JCRName":null,"Score":null,"Total":0}

For over a century, the U.S. judiciary's pursuit of this aim has relied principally upon print law reports. With unsettling rapidity, digital technology has dislodged that system, in practical fact, if not yet in the way lawyers and judges talk and think about case law. This article explores gains one might hope for from a \"judicial consistency\" system liberated from the constraints of print, likely affects on concepts of precedent, as well as challenges and forces of resistance standing in the way of change.","PeriodicalId":83467,"journal":{"name":"Villanova law review","volume":"17 1","pages":"1"},"PeriodicalIF":0.0,"publicationDate":"2007-08-29","publicationTypes":"Journal Article","fieldsOfStudy":null,"isOpenAccess":false,"openAccessPdf":"","citationCount":null,"resultStr":null,"platform":"Semanticscholar","paperid":"68124559","PeriodicalName":null,"FirstCategoryId":null,"ListUrlMain":null,"RegionNum":0,"RegionCategory":"","ArticlePicture":[],"TitleCN":null,"AbstractTextCN":null,"PMCID":"","EPubDate":null,"PubModel":null,"JCR":null,"JCRName":null,"Score":null,"Total":0}

United States Congress that \"[a] profession that we are a nation 'under God' is identical, for Establishment Clause purposes,\" to a profession that we are a nation 'under Jesus,' a nation 'under Vishnu,' a nation 'under Zeus,' or a nation 'under no god,' this essay attempts to disentangle three themes that the modern discourse of religious freedom often conflates, with baneful effect. We can call these the public secularism principle, the neutrality principle, and the nonsectarian principle. The essay argues that the first two of these principles have exercised a pernicious influence over First Amendment jurisprudence: but the third, if it could be extracted so that its own distinctive virtues could be appreciated, might provide valuable mooring for what is at present a deeply disoriented discourse.","PeriodicalId":83467,"journal":{"name":"Villanova law review","volume":"50 1","pages":"1"},"PeriodicalIF":0.0,"publicationDate":"2004-01-01","publicationTypes":"Journal Article","fieldsOfStudy":null,"isOpenAccess":false,"openAccessPdf":"","citationCount":null,"resultStr":null,"platform":"Semanticscholar","paperid":"67763435","PeriodicalName":null,"FirstCategoryId":null,"ListUrlMain":null,"RegionNum":0,"RegionCategory":"","ArticlePicture":[],"TitleCN":null,"AbstractTextCN":null,"PMCID":"","EPubDate":null,"PubModel":null,"JCR":null,"JCRName":null,"Score":null,"Total":0}
