{"title":"End-product- vs Component-level Licensing of Standard Essential Patents in the Internet of Things Context","authors":"D. Geradin, Dimitrios Katsifis","doi":"10.2139/ssrn.3848532","DOIUrl":"https://doi.org/10.2139/ssrn.3848532","url":null,"abstract":"The appropriate level of licensing Standard Essential Patents (SEPs) in the case of a multi-tiered supply chain is among the most hotly debated issues in the SEP community and at the crux of an ongoing dispute between Nokia and Daimler. The debate centres on whether the SEP holder is (or should be) under an obligation to grant a license to any implementer, including component makers, or whether the SEP holder is (or should be) free to only license at the end-product level. After examining the various arguments raised in favour of and against each licensing model, we consider there are strong policy reasons to promote component-level licensing in the context of the Internet of Things. Component-level licensing is more likely to reduce transaction costs and spur downstream innovation of implementers, while preserving the SEP holders’ incentives to innovate. At a positive level, we examine whether a SEP holder that has given a FRAND commitment to a standardization body may be under an obligation under contract law or EU competition rules to grant a license to component suppliers. We consider that, properly interpreted, ETSI’s IPR Policy obliges SEP holders to license any implementer that seeks such license, regardless of the latter’s position in a supply chain. {"title":"Markets vs. Regulation: Investor Protection in the U.S. Compared to Israel","authors":"Nitzan Shilon","doi":"10.2139/ssrn.3841501","DOIUrl":"https://doi.org/10.2139/ssrn.3841501","url":null,"abstract":"In this book chapter, I show that, while the U.S. systems relies on factors that are not determined by regulation, which I call market forces, to shape sophisticated investor protection standards, Israel prescribes such arrangements by the heavy hand of the regulator. I substantiate my argument by comparing these two jurisdictions’ approach to major mechanisms that aim to protect public investors through monitoring and bonding. Section II describes their different approach to the duty of care and to regulating related party transactions and Section III turns to apply such differences to executive and director compensation arrangements. Section IV describes their significant discrepancies related to public shareholder power to propose, appoint and remove directors and Section V describes how their similar objectives toward director independence standards have evolved quite differently and affected the success of initiatives to enhance board independence through changes to board composition. A territorial dispute concerning the borders of the sovereign state is an outmost sensitive and political matter, which never should be ultimately decided in a court. Only a political discourse should lead to the solution, always with due respect to the sovereignty of the state, whose borders the dispute concerns [South Sudan, 2011].<br><br>2. It is worthwhile to mention that the European nations share quite some values, whenever the state sovereignty, the state territory, the right of people for self-determination, the secession of territory, the accession of territory to the other state or the creation of a new state is at issue. The disputes of European scale should be decided according to the European traditions and within the European legal framework, as in the world there is much less coherence in understanding of those life-important, security-related issues.<br><br>3. May I warn against too general and too superficial interpretation of territorial disputes, which might be encountered in media and even in diplomatic circuits. When considering the territorial dispute, relating the problem to the time and space as well as assessing the necessity and proportionality of the measures contemplated or taken is of the decisive meaning.<br><br>4. The same thing has happened in developed countries through a long process and it is proven that the number of cheats is getting smaller and makes the people prosperous. In addition, this book is intended for introspection, self-reflection and to reflect on whether we have carried out business ethics properly.
