At the same time, due to the serious differences between shareholders and corporate executives in the pursuit of interests, it is difficult to establish a full relationship of trust between shareholders and corporate executives, which seriously affects the enthusiasm of corporate executives and leads to low company performance. In order to avoid similar phenomena, the equity incentive mechanism came into being, becoming an indispensable part of listed companies and an important prerequisite for listed companies to improve their governance structure. In recent years, with the development of the market, China’s listed companies have gradually realized the importance of equity incentives for the development of enterprises, and more and more listed companies have begun to apply the tool of equity incentives. In this field, scholars have also achieved fruitful results in theoretical research and performance analysis of equity incentives. This paper sorts out the literature on equity incentives of listed companies by clarifying the significance of equity incentives for listed companies, the main models and main theories of equity incentives. 摘要

股权激励是上市公司促进核心管理人员与企业利益一致的激励方式,科学合理的股权激励方式能够促进管理者和核心员工更好地为公司服务,促进公司股东、管理层和员工之间形成利益共同体,为公司的发展做出更大的贡献。同时,由于股东与企业高管在利益追求上存在严重分歧,股东与企业高管之间难以建立充分的信任关系,严重影响了企业高管的积极性,导致公司绩效低下。为了避免类似现象的发生,股权激励机制应运而生,成为上市公司不可或缺的一部分,也是上市公司完善治理结构的重要前提。近年来,随着市场的发展,我国上市公司逐渐意识到股权激励对于企业发展的重要性,越来越多的上市公司开始运用股权激励这一工具。在这一领域,学者们对股权激励的理论研究和绩效分析也取得了丰硕的成果。本文通过阐明股权激励对上市公司的意义、股权激励的主要模式和主要理论,梳理了有关上市公司股权激励的文献。在现有文献和公司数据的基础上,本文还结合相关理论,从多角度对我国股权激励的现状进行了理论阐释。
