Under the intense competition of the market, the motivation of the top managers has become extremely important to maintain the durable competence and the long-term development of the company. At present, state-owned enterprises are facing an uncommon developing period. Reform and innovation and the foundation of modern enterprise system raise a harder requirement to the top management. To exert the leading function of them, motivation to them must be enforced. Therefore, it is necessary to make a change of motivation mechanism and motivation mode. State-owned companies are a special enterprise group. The efficient motivation to the management of state-owned companies should combine the characteristics of the company. The paper discusses the issue of the motivation mechanism through the case of JCB company and put forward a set of top-management motivation mechanism solutions, including the financial ones and the non-financial ones, based on the relevant theories of motivation systems and the concerning researches of scholars.
