摘要

笔者考察了公司法律性质与社会正义原则的合规性。股东凭借其经济和法律地位在公司治理中享有优先权。参与者(股东)的利益来源于商业组织的利益。公司的目标必须考虑到现代条件下其他利益相关者的利益。作者提出了一种“隐含限制”的工具,允许在管理自由裁量权中包含社会正义的因素。
