Facing fierce market competition, many household appliance enterprises try to find a new profit growth point through M&A. This paper takes Midea Group's M&A of KUKA as an example to analyze the motivation of M&A through the dimensions of industry and enterprise. It also systematically evaluates the financial and non-financial performance of Midea Group before and after the M&A. It finds that this M&A effectively mitigated the impact of industry cyclicity on Midea Group's financial performance. However, overall, the performance indicators are not significantly improved after the M&A. 并购是企业最重要的投资方式之一。近年来,家电制造业的销售逐渐放缓。面对激烈的市场竞争,许多家电企业试图通过并购寻找新的利润增长点。本文以美的集团并购库卡为例,从行业和企业两个维度分析并购动因。并对并购前后美的集团的财务和非财务绩效进行了系统评价。研究发现,本次并购有效缓解了行业周期对美的集团财务绩效的影响。但总体来看,并购后的绩效指标并没有明显改善。因此,本文建议美的集团放慢并购的速度,注重现有资源的整合,加强专业人才的培养。
