Abstract

Limited partnership originated from commenda.This form of enterprise has its special value,for it can perfect the form of liability and promote venture investment.As for venture investment the limited partnership,which will lead to a sound corporate governance,is not only a form of enterprise but an innovation in organizational structure essentially.Our country is in aspect such as concrete legislation pattern,copartner's quantity,right of the limited partner duty although legislation having stipulated the limited enterprise in partnership form,still has further perfect leeway.
