In this case, it is necessary to find an appropriate solution for modifying the Ukrainian corporate law system and legislatively ensure effective remedies for the rights of participants in business companies. The following methods were used during the study: general scientific methods (concrete historical, Aristotelian, structural-functional, system-structural, etc.), special methods (comparative legal, modelling, system interpretation, legal technical), dialectical method of cognition, involvement of scientific tools of related humanities disciplines, a conceptual approach. The main steps to solve the problems of protecting the rights of participants and ensuring equal treatment were as follows: improving the legislation governing the activities of business companies; combining rules that ensure the rights of participants and guarantee their remedying under charters and internal documents. The judicial remedying of the company members’ rights on the territory of Ukraine remains ineffective, which, in turn, is attributed by researchers to the discretion of the judiciary and the inability of courts to interfere in certain issues within the framework of corporate conflicts. At the same time, in this context, it is advisable to adapt the positive practices legalised in Germany, which would allow modifying existing approaches to organising corporate relations and remedying the rights of participants. 摘要有时公司关系参与者的利益开始相互矛盾,出现公司冲突和公司法律纠纷,冲突参与者往往滥用权利,使公司活动陷入瘫痪。在这种情况下,有必要找到修改乌克兰公司法制度的适当解决方案,并从立法上确保对商业公司参与者的权利采取有效补救措施。研究中采用了以下方法:一般科学方法(具体历史方法、亚里士多德方法、结构功能方法、系统结构方法等)、特殊方法(比较法学方法、建模方法、系统解释方法、法律技术方法)、辩证认识方法、相关人文学科科学工具的介入、概念方法。解决保护参与者权利和确保平等待遇问题的主要步骤如下:改进管理商业公司活动的立法;将确保参与者权利并保证根据章程和内部文件对其进行补救的规则结合起来。对公司成员在乌克兰境内权利的司法补救仍然无效,研究人员将其归因于司法部门的自由裁量权和法院无法在公司冲突框架内干预某些问题。与此同时,在这种情况下,可取的做法是调整德国合法化的积极做法,这将允许修改组织公司关系和纠正参与者权利的现有方法。此外,法律制度与公司关系法律监管的趋同是世界各地公司立法发展中最引人注目的趋势之一。
