Abstract

The author comments on the decision of the Tribunal of Venice concerning the quantification of damages caused by director’s unlawful conduct upon the occurrence of a cause for dissolution of the company. This paper aims to analyze the two damage quantification methods inserted in article 2486 of the Italian Civil Code, modified from article 378 of the new Code of enterprise crisis and insolvency.
